Legal Counsel, APAC (In-house)

We are looking for an in-house Legal Counsel to support M&A projects and investments in the Renewables Space.  This role will support the growth of the organisation and strategic ventures in APAC. 

Roles and Responsibilities:

• Assist in providing legal advice, cross-border M&A support and Corporate Secretarial support to senior management in the drafting of MOUs,  term sheets, shareholder agreements, investment agreements, POAs, PPAs, etc
• Support business partners to advise on various business activities including the establishment of entities in the APAC region, joint ventures, M&A, and other strategic transactions of the Renewables business
• Monitor overall corporate law matters including capital restructurings, asset transfers, and shareholder distributions
• Support the board of directors’ and shareholders’ meetings such as board practices, compliance, and regulatory requirements
• Collaborate closely with affiliates and prepare statutory returns and lodgements with ACRA and other similar government agencies
• Provide professional legal and corporate secretarial to support all APAC transactions

Requirements:

• Possess a Degree in Law or its equivalent
• Possesses strong cross-border M&A regional experience of at least 5 years 
• Strong proficiency in drafting contracts and providing legal advisory
• Proven Corporate Secretarial experience in providing legal advisory and documentation for the establishment of entities/projects
• A strong detail-oriented team player with excellent communication, analytical, and interpersonal skills
• Demonstrated knowledge of corporate and general contracts law, regulatory requirements, etc.
